Delta Elektronik A/S' Code of Conduct
Rev. 01.11.2024

Delta’s Vision

To deliver complete automation systems to Danish industry, enhancing working conditions and improving  companies' competitiveness.

It is important for Delta Elektronik to communicate our commitments and expectations to our business partners  due to regulatory requirements and rising external expectations.

This applies to everyone we collaborate and conduct business with, including our customers, suppliers, and other external partners.

Delta Elektronik recognizes that our responsibility for social, environmental, and economic impacts is tied to the  partnerships we have with our business associates.

Delta Elektronik’s Mission and Core Values

We must always stay ahead of the latest technological developments and actively seek new opportunities to ensure Delta's position in the market.

We must continually develop so that we can tackle challenging tasks, thereby attracting and retaining skilled  mployees.

Delta Elektronik’s growth must be driven by providing a higher level of service and expertise than our competitors.

Delta Elektronik should generate sufficient profit to ensure all employees can have a reasonable salary. Additionally, profits should contribute to a work environment where all employees feel secure in their employment.

At Delta Elektronik, the customer is the top priority. We cannot be satisfied until the customer is satisfied.

Delta Elektronik’s Core Values

• We always add a high degree of added value to the products  we sell.
• We always strive to exceed our customers' expectations.
• We operate as a team with a clear overview, adhering to  applicable rules
   and standards.

Conflict Materials

Delta Elektronik has a policy of not supplying equipment, support, or software services to countries and states that do not uphold basic human rights.

In general, we comply with applicable sanctions under Danish law and international regulations. Delta Elektronik does not engage in trade with countries in conflict zones, and none of our current or future suppliers come from conflict zones.

Although Delta Elektronik is not a manufacturing company, we can confirm that we do not import any materials subject to "Conflict Materials" regulations from anywhere in the world.

We maintain ongoing dialogue with both existing and new suppliers about our shared responsibility to avoid trade with countries that, either knowingly or unknowingly, supply components and materials from conflict zones.

If Delta Elektronik becomes aware that one of our suppliers engages in such practices, we will act responsibly based on the situation.

Trade Compliance

Fair and equal competition is an essential prerequisite for economic growth and the development of democratic, fair, and transparent social structures.

Delta Elektronik requires that our business partners refrain from engaging in anti-competitive practices that violate applicable laws, regulations, or contractual obligations.

They must neither fix prices nor manipulate bids with their competitors, nor exchange current, recent, or future pricing information with competitors.

Business partners are expected to actively avoid participating in or being associated with cartels formed to promote anti-competitive practices.

Business partners must ensure that their business practices comply with all applicable trade laws, directives, and regulations, including those governing the import and export of products, technology, and data.

Anti-Corruption

Delta Elektronik is subject to strict restrictions and an annual audit from one of our main suppliers, Kollmorgen, regarding our responsibilities as a distributor of their products in relation to corruption.

Therefore, all our employees must responsibly adhere to the conditions and requirements that Delta Elektronik is subject to.

Delta Elektronik firmly opposes corruption, corrupt practices, and other activities that can undermine economic sustainability, such as extortion, fraud, cartel formation, and tax evasion.

We expect our business partners to comply with all applicable regulations. Likewise, we expect that larger business partners also have a management system in place to ensure adherence to the requirements set forth by the OECD guidelines.

This entails that business partners:

• Establish an anti-corruption policy.
• Implement a due diligence process for anti-corruption.
• Require that their business partners adhere to the OECD
   guidelines.
• Report to and cooperate with relevant authorities in cases of
   corruption.

Business partners must actively refrain from any form of corruption or corrupt practices and take all relevant measures to ensure that subcontractors, agents, or other third-party actors do not engage in corrupt behavior.

Environment

Delta Elektronik is a non-manufacturing Danish company with fewer than 10 employees and therefore does not have a formal environmental policy.

We comply with the general environmental regulations and requirements that apply to all companies. These include waste management, pollution monitoring, and handling of products within the company. We maintain a clear stance on environmental requirements, which our employees are also aware of:

• Our daily operations do not place any unnecessary burden on the environment.

• Waste is sorted in accordance with applicable regulations.

• We dispose of old goods and scrap in compliance with Danish law and relevant regulations.

• Employees who wish to drive an electric vehicle are offered a solution.

• All employees are educated on Delta Elektronik's policies through our employee handbook.

• We ensure that we only collaborate with suppliers who can provide REACH and RoHS declarations for the goods
   we import from them.

• We maintain ongoing dialogue with our suppliers regarding deliveries to our Danish customers, which must comply
   with the ISO 14001 standard.

Delta Elektronik expects our business partners to integrate environmental considerations into their activities and to strive for continuous improvement by preventing or reducing significant negative impacts of their activities on environmental sustainability.

Human Rights

Delta Elektronik is a non-manufacturing Danish company with fewer than 10 employees and, therefore, does not have a formal management system for handling and ensuring compliance with human rights.

Conflict minerals are often associated with severe human rights violations, such as forced labor, child labor, and unsafe and unhealthy working conditions.

We make considerable efforts to ensure compliance with applicable laws and regulations concerning conflict minerals through dialogue with our business partners.

They are also obligated to support our efforts to report the use of conflict minerals in the supplied products, including identifying such minerals in the products and in their supply chain.

Discrimination

Delta Elektronik does not discriminate against suppliers, customers, or others in our value chain based on race, skin color, gender, language, religion, political or other opinions, age, disability, nationality, social or ethnic background, economic status, sexual orientation, origin, or any other status recognized by international law.

Child Labor

Delta Elektronik will not directly or indirectly engage in child labor. We expect the same from our suppliers, customers, and others in our value chain.

Validation

Delta Elektronik may request business partners at any time to provide relevant documentation for their compliance with this business code.

The documentation may take the form of policies, business codes, operational impact assessments, procedures, including grievance mechanisms, or any other documentation demonstrating compliance.

We reserve the right to take appropriate action if a business partner does not meet the requirements of this business code.

General Person Data Security (GDPR)

Delta Elektronik protects confidential business information about our products and data.

Confidentiality is maintained both during and after employment. We respect others' intellectual property rights and confidential information.
